Terms of Service

1. Acceptance of terms
By accessing or using GeoForge ("Service"), operated by GeoForge, Inc. ("GeoForge", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
GeoForge provides an economic-development platform that includes interactive maps, community profiles, property inventories, RFP packaging, CRM, and AI-assisted content for Economic Development Organizations ("EDOs"), chambers of commerce, and similar entities.
3. Accounts and eligibility
You must provide accurate account information and keep credentials confidential. You are responsible for all activity under your account. The Service is intended for use by employees, contractors, and agents of an EDO, municipal government, chamber, or similar organization.
4. Trials and subscriptions
New accounts receive a 14-day free trial with no credit card required. Continued use after trial expiration requires a paid subscription under one of the published population-based tiers (Micro, Mid-Market, Metro, Enterprise). Subscription fees are billed annually and are non-refundable except where required by law.
5. Your content
You retain ownership of property records, community profiles, RFP responses, CRM data, and other content you upload ("Customer Content"). You grant GeoForge a limited license to host, process, and display Customer Content solely to operate and improve the Service for you.
6. Acceptable use
You agree not to (a) scrape or mass-download data outside published export tools, (b) resell the Service without a reseller agreement, (c) use the Service to distribute unlawful content, or (d) reverse engineer the Service. AI-generated outputs may contain inaccuracies — you are responsible for reviewing them before external use.
7. Third-party integrations
The Service integrates with third-party providers (CRM, mapping, email, analytics). Your use of those integrations is governed by the third party's terms. GeoForge is not responsible for third-party outages or data practices.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.
9. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. GeoForge does not warrant that Service data (including third-party demographic, geospatial, or firmographic feeds) is complete, current, or accurate.
10. Limitation of liability
To the maximum extent permitted by law, GeoForge's total liability for any claim arising out of these Terms shall not exceed the fees paid to GeoForge in the twelve months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
11. Termination
Either party may terminate for material breach with 30 days' notice if the breach is not cured. On termination, you may export Customer Content for 30 days, after which GeoForge may delete it.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Venue for disputes lies in Travis County, Texas.
13. Changes
We may update these Terms from time to time. Material changes will be posted here with a new effective date; continued use after the effective date constitutes acceptance.
